1. Introduction

Welcome to FounderWell (“Company,” “we,” “us,” or “our”). By accessing or using our platform, software, tools, content, community features, or services (collectively, the “Services”), you agree to these Terms of Service. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you confirm that you meet this requirement.

3. Use of Services

You agree to use the Services lawfully and respectfully. You may not misuse, copy, scrape, exploit, reverse engineer, or interfere with any part of the Services, including its security or access controls. We may suspend or terminate access if these Terms are violated.

4. Nature of Services

FounderWell provides technology-enabled coaching, community, wellness support, and knowledge tools for founders. The Services are educational and supportive in nature. They are not therapy, medical advice, clinical treatment, legal advice, or financial advice.

  • Coaching: Coaches and facilitators operating through the platform are independent professionals and are not employees or agents of FounderWell. FounderWell does not supervise, direct, or control the content of coaching sessions.
  • Community & Group Sessions: Group calls, community spaces, and shared forums are not confidential therapeutic environments. You are responsible for what you choose to share in these settings.
  • Wellness Features: Wellbeing check-ins and related tools are self-reported and informational. They do not constitute a diagnosis, assessment, or treatment plan.

No content, output, recommendation, or interaction provided through the Services should be relied upon as a substitute for professional medical, mental health, legal, or financial guidance.

5. Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login information and for all activity that occurs under your account. You agree to provide accurate information and to update it as needed. We are not responsible for unauthorized access resulting from your failure to protect your credentials.

6. Payments & Billing

If you purchase a product or service, prices will be shown at checkout and processed through third-party providers. By completing a purchase, you authorize us to charge your selected payment method. Refunds, if offered, are governed by the policy shown at checkout or in your agreement.

7. Intellectual Property

All content, software, branding, designs, knowledge tools, AI-generated outputs, and materials available through the Services are owned by FounderWell or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or reuse any part of the Services without prior written permission.

8. AI-Powered Features

The Services include AI-powered tools, including personalization, recommendations, and knowledge-base features. By using these features, you acknowledge and agree that:

  • AI-generated content is provided for informational and supportive purposes only and may not always be accurate or complete.
  • Your private workspace content is used only to serve you and is not shared with other users.
  • We do not use your personal data to train third-party AI models.
  • You should not rely on AI outputs as a substitute for professional judgment in any domain.

Additional terms governing AI data handling and content reuse will be provided in our forthcoming comprehensive terms.

9. User Content

If you submit content (including session inputs, community posts, or check-in responses), you confirm that you have the right to do so and that it does not violate any laws or third-party rights. You grant us a non-exclusive, royalty-free right to use your content as necessary to operate, maintain, and improve the Services. We may remove content that violates these Terms or applicable laws.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT GUARANTEE RESULTS, OUTCOMES, PERFORMANCE, OR SUCCESS FROM USING THE SERVICES. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We are not responsible for business, financial, legal, health, or personal decisions you make based on our content, tools, coaching interactions, AI outputs, or community discussions. You use the Services at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, FounderWell will not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total aggregate liability for any claims arising from or related to the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless FounderWell, its officers, contractors, coaches, and affiliates from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access at any time if you violate these Terms or if continued access poses a risk to the platform, its users, or third parties. You may stop using the Services at any time. Upon termination, provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

14. Changes

We may update these Terms from time to time. We will notify you of material changes through the Services or by email. Continued use of the Services after changes are posted means you accept the updated version.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles. Any disputes arising from or related to these Terms or the Services will be resolved in the state or federal courts located in Colorado, unless otherwise agreed in writing.

A binding arbitration and class action waiver provision is under review and may be included in the forthcoming comprehensive terms.
